A client relationship begins only after:

Scope of Work

No Legal, Financial, or Licensed Design Services

  • Construction contracting services

Clients remain responsible for all final decisions, approvals, contracts, and payments.

Client Responsibilities

  • Respond to requests needed to move work forward

  • Maintain access to required tools, platforms, or documentation

Delays caused by missing information or approvals may impact timelines.

Intellectual Property

All materials created during an engagement are for the client’s internal business use unless otherwise agreed.

Templates, processes, frameworks, and methods developed by Gemma DeMasi remain the intellectual property of Gemma DeMasi unless explicitly transferred in writing.

Confidentiality

Both parties agree to keep confidential information private and not disclose sensitive business details shared during an engagement, except as required to perform services.

Payment Terms

Payment terms, rates, retainers, and billing cadence are defined per engagement.

Late payments may result in paused services until the account is brought current.

No Guarantees

While professional, experienced support is provided, we do not guarantee specific financial outcomes, timelines, or business results.

Results depend on many factors beyond our control, including client decisions and external vendors.

Limitation of Liability

To the fullest extent permitted by law, Gemma DeMasi shall not be liable for indirect, incidental, or consequential damages arising from the use of this website or services.

Total liability shall not exceed the amount paid for services rendered.

Termination

Either party may terminate an engagement in accordance with the agreed terms. Any completed work up to the termination date remains billable.
